System Conversion Information

The Division of Corporations is completing a major upgrade to its computer platform, the first comprehensive rewrite of the Division’s imaging, workflow and data systems since 1989. This upgrade will enable the State and its network of authorized online registered agents to offer expanded and improved products and services in the future.

The conversion to this new system will require time to complete all necessary tasks including the migration of data and images documenting 116 years of Delaware corporate law filings. As a result, the Division of Corporations will close for business at 4:30 p.m. on Thursday, September 3, 2015 and is scheduled to reopen for business at 8:00 a.m. on Tuesday, September 8, 2015.
The 4-day conversion process has been scheduled for a holiday weekend in order to cause the least possible disruption for our customers. We understand that being closed on Friday, September 4 and the introduction of a new system the following Tuesday could potentially have unanticipated impacts on some necessary business transactions scheduled for this time period. To the extent possible, we respectfully ask that you plan ahead for this scheduled event. Should you need an emergency business filing during this period, please contact your Registered Agent for assistance.

Online Vehicle Registration Now Available to DMV Customers

Dover -- The Delaware Division of Motor Vehicles (DMV) has added a new service that will allow customers to complete their vehicle registration. Instead of coming inside the DMV office or choosing the mail-in registration option, drivers can now opt to complete the process online from work, home or with a compatible mobile device. This new service will increase customer service levels and reduce wait times at all DMV facilities.

The new online vehicle registration option is available to any customer with a MyDMV account. By visiting the DMV website at www.dmv.de.gov, any driver can create and access their MyDMV services with a user name and password. Once registered all online service options are available allowing customers to print a driver record, change their vehicle registration address and signing up for the Next of Kin registry.

DMV Director Jennifer Cohan explained, "The Delaware DMV is well known for routinely launching innovative online services. The online vehicle registration process is our newest effort to help customers save time. By allowing drivers to complete their registration work with a MyDMV account, DMV staff will be able to serve customers on site more quickly, reducing the time they have to spend at our offices."

When a vehicle is due for registration renewal and needs to pass a physical DMV inspection on site, the inspection can be done up to 90 days prior to the expiration date. Once the vehicle passes inspection, based on customer preferences it can be validated for one or two years. On average approximately 4,500 vehicle owners use the mail-in renewal process. Each of these transactions can now be done online, saving both the customer and DMV staff time and effort.

Steps to complete ONLINE REGISTRATION RENEWAL
* Delaware registered vehicle must be valid and have a passing inspection
* Access www.dmv.de.gov
* Follow the tabs to Online Services, click on renew your registration
* Log onto your "MyDMV" account; if you do not currently have an account, you will be prompted to create one
* Pay the registration fee online using your major credit card
* Print a temporary registration card to use until you receive a new card and expiration decal in the mail
* Please allow 7 business days for mailing

Year End Reminder

2013 is quickly coming to a close. If your company has ceased transacting business and you have not legally dissolved the charter, NOW is the time to do so. A legal entity cannot simply be abandoned. You must file a Certificate of Dissolution to legally dissolve a Corporation, or a Certificate of Cancellation to close an LLC or LP.

Charters that remain active into 2014 - even for one day - will be assessed the Annual Franchise Tax for the 2014 tax year. Contact our office today to request the appropriate forms and fees necessary to legally close your company.
