Delaware Corporate Information System Conversion Update

SYSTEM CONVERSION UPDATE:

 

The Delaware Division of Corporations implemented a major computer system conversion over Labor Day weekend.  

To allow for overnight system maintenance and troubleshooting, the Division's operating hours are temporarily limited to 8 a.m. to 5 p.m. EDT from September 14 through September 18. The 5 p.m. closure time is a temporary measure to allow for time to address technical issues that typically arise during the first two weeks of a new system implementation. The Division will return to regular operating hours as soon as practical.

Announcing State of Delaware Division of Corporations System Conversion

The Division of Corporations is completing a major upgrade to its computer platform; the first comprehensive rewrite of the Division’s imaging, workflow and data systems since 1989. This upgrade will enable the State and The Incorporators Ltd. to offer expanded and improved products and services to our clients in the future.

The conversion to this new system will require time to complete all necessary tasks, including the migration of data and images documenting 116 years of Delaware corporate law filings. The 4-day conversion process has been scheduled for the Labor Day holiday weekend in order to cause the least possible disruption for our customers. As a result, the Division of Corporations and The Incorporators Ltd. will close for business at 4:30 p.m. on Thursday, September 3, 2015 and is scheduled to reopen for business at 8:00 a.m. on Tuesday, September 8, 2015.

The complete schedule is listed below:

Thursday, September 3

·         Closing at 4:30 p.m. 

·         All business filings, UCC filings and searches and certificate requests must be received by the State by NOON.

Friday, September 4

·         Closed all day

 Monday, September 7

·         Closed for Labor Day 

Tuesday, September 8

·         Opening at 8 a.m. and the new system will be live.

How will this affect you?

During the outage, we will be unable to process business filings, UCC searches and filings, and certificate requests.  We understand that being closed on Friday, September 4 and the introduction of a new system the following Tuesday could potentially have impact on some business transactions scheduled for this time period. Business filings, certificate requests and UCC searches and filings can be submitted up until noon on Thursday. To the extent possible, we respectfully ask that you plan ahead for this scheduled event and submit any requests prior to noon on Thursday. Should you need an emergency business filing (the inability to process the filing will cause substantial harm) on Friday, September 4, the State has put a mechanism in place with certain restrictions and expedited fees will apply.  Please contact our office by email for more information. UCC filing services will be unavailable from close of business Thursday, September 3 through reopening at 8:00 am, Tuesday, September 8^th at go live.  

After the conversion, The State and The Incorporators Ltd. will work together to make the transition as seamless as possible for you, our client.  But, as this is a full conversion to a completely new system, issues and delays are expected.  We appreciate your patience during this process and thank you for doing business with Delaware.

The conversion to this new system will require time to complete all necessary tasks including the migration of data and images documenting 116 years of Delaware corporate law filings. As a result, the Division of Corporations will close for business at 4:30 p.m. on Thursday, September 3, 2015 and is scheduled to reopen for business at 8:00 a.m. on Tuesday, September 8, 2015.

We understand that being closed on Friday, September 4 and the introduction of a new system the following Tuesday could potentially have unanticipated impacts on some necessary business transactions scheduled for this time period. To the extent possible, we respectfully ask that you plan ahead for this scheduled event.
